Reporting to the Centrica Group Head of M&A the VP, Head of M&A North America
will be responsible for the sourcing and execution of M&A and corporate development
projects for Centrica across the Americas. The candidate will exhibit a strong client
service mentality, providing leadership to the organization in evaluating and
executing new investment opportunities.
An experienced corporate development professional with deep M&A experience
gained in a comparable corporate development environment, investment banking or

in the role of internal advisor and guardian of shareholder value.
Experience in a large, complex, multi-location international enterprise.
Senior executive presence that allows the successful candidate to be credible at the
senior management level.
Bachelors degree is required, with MBA or other post graduate degree desired.
Competencies for Success:
Corporate finance and deal-structuring acumen. Ideally, the successful candidate
will have a corporate finance skill set with an ability to apply financial objectives to
investment ideas. The ability to identify business development opportunities will be
well viewed, as will proven execution and project management skills. He/she should
have demonstrated the commercial acumen to negotiate transactions, as well as
structure and facilitate complex transactions and/or projects.
Strong analytical skills. The successful candidate must be both extremely numerate
and accustomed to synthesizing qualitative and often ambiguous data, with strong
analytical skills and a natural attention to detail. He/she must have broad business
acumen with a proven track record of using analysis to drive well-founded
recommendations and solutions.
Outstanding influencing and relationship management skills. The Head of M&A,
North America, must be able to quickly establish his/her credibility with senior
executives across the North American businesses and will possess a high level of
intellect, polish, maturity, confidence, humility and strong communication skills.
He/she must demonstrate a track record of working at executive levels to influence
others and build consensus and commitment to a recommended direction while
managing multiple stakeholders. He/she must exude a natural energy and passion for
his/her recommendations. The emphasis will be on working through influence and
persuasion, and will have a track record of leading cross-disciplinary project teams.
Finally, the successful candidate will be able to distil complex issues to their
essence and to articulate a compelling case in support of hard decisions required.

Play a key role in all areas of transaction work including identifying, evaluating,
structuring, negotiating, closing and integrating significant M&A transactions,
working collaboratively with internal team members and select external advisors.
Lead a portfolio of diverse strategy/M&A projects to maximize the value or growth
potential of Centrica businesses and assets, often involving the leadership of cross-
functional or cross-business unit teams.
Developing a pipeline of potential acquisition targets for our existing energy and
services portfolio and global business units as well as identify new markets and
geographies for Centrica to enter by tapping existing relationships with
entrepreneurs, venture capitalists, and investment banks, and through primary
research and networking.
Leading negotiations directly and being responsible for the final definitive
documentation of a transaction (in concert with legal).
Leading and managing a focused team of colleagues to compile research, develop
detailed financial models, valuation scenarios for potential transactions and drive the
execution of transactions.
Ensuring efficient and effective due diligence processes across functional disciplines
at the company, including the proper documentation of diligence findings during the

Be a leader within the Global M&A team and share responsibility for helping build and
develop the team. Build and maintain strong collaborative internal relationships with
(i) senior business leadership in North America and the UK; and (ii) Functional
groups across the organization.
Be outwardly focused on the market to help build a solid pipeline of M&A
opportunities for Centrica group. Build relationships with appropriate industry and
professional groups (including Bankers, Private equity firms and potential industry
targets) so that the business is always current and pro-actively engaged on the M&A
